An RMC is a company owned by the leaseholders that is responsible, under the leases, for running the building. Its directors are usually volunteers who live there.

What the law asks of your board

  • Company law: directors' duties in sections 171 to 177 of the Companies Act 2006, annual accounts and a confirmation statement at Companies House, and up-to-date registers of members and directors.
  • The lease: repair, insure and provide the services the lease describes, and collect only the charges it allows.
  • Service charge law: reasonableness (s19), Section 20 consultation, the 18-month rule (s20B) and a summary of rights with every demand (s21B), all under the Landlord and Tenant Act 1985.
  • Fire safety: the RMC is usually the Responsible Person under the Fire Safety Order 2005.

How we help

We act as managing agent and, if you wish, company secretary. We keep the compliance calendar, prepare budgets and accounts, file at Companies House, run AGMs and give the board the facts it needs to decide.

What we can take off your hands
